8月3日晚间，芯导科技披露重大资产重组预案，计划收购瞬雷科技100%股权，完善其在功率半导体领域布局。

根据交易方案，芯导科技拟通过发行可转换公司债券及支付现金，购买吉瞬科技100%股权、瞬雷科技17.15%股权，实现对瞬雷科技的直接与间接控股。

芯导科技以功率半导体业务起步，与瞬雷科技同属行业内，但近年主营业务业绩波动大。此次交易，芯导科技可借瞬雷科技优质客户资源，进入汽车电子、工业等领域。

本次交易作价4.03亿元，其中现金对价1.27亿元，可转债对价2.76亿元。芯导科技拟配套募集资金不超5000万元，预计达到重大资产重组标准。

从股权穿透看，吉瞬科技直接持有瞬雷科技82.85%股权，是瞬雷科技持股主体。瞬雷科技产品含车规级和工业级功率半导体产品，拥有自主生产工厂，覆盖完整生产环节。
